This sale is for all rights, title and interest in essentially all intellectual property assets of American Sports Wire and americansportswire.com. This sale specifically does not include any interest in non-assignable licenses in which americansportswire.com may be a licensee.

THE SITE - Americansportswire.com is an easy to navigate, operational sports web site, designed to meet the information needs of sports fans with a betting interest. The home page URL is...

http://www.americansportswire.com/

FAST LOADING - Because of its design (graphics have been kept to a minimum), the site loads quickly, allowing the visitor quick access to our exclusive and unique statistical forms (which are updated daily in season), live odds, live scores and the latest sports news.

SITE TRAFFIC - January and March of 2003 were americansportswire.com's biggest months yet. With a counter on only 32 of its 49 in-house pages, the site played host to 103,483 "unique visitors" (41,774 excluding reloads) in January '03 and 102,506 (42,928 excluding reloads) in March '03, according to its counting service, Extreme Tracking. This was achieved with absolutely no promotion. (Monthly unique visitor traffic is compliled below.) [Note: The latest daily traffic counts will be made available upon request.]

PROPRIETARY SOFTWARE AND COPYRIGHTS - ASW's proprietary sports software and the statistical formats it generates are covered by copyrights obtained in the mid to late 1980s, and have approximately 57 years to run. (Copies of the copyright registration certificates will be made available upon request.) [Note: The copyright for the baseball pitching form format was upheld by the U.S. Second Circuit Court of Appeals in New York City in the early 1990's. (See Kregos, d/b/a American Sports Wire v. The Associated Press - 90-7469 and 92-7735.)]

EXCLUSIVE COPYRIGHTED CONTENT AND FEATURES - HARDCOPY AND WEB BASED - The software creates and maintains the data bases and generates all of the content and features appearing in the "SMART STATS" section of the web site, both hardcopy and web based, including four static pages and seven dynamic, visitor driven data base pages.

[Note: The dynamic content on the site is truly unique and innovative. To the best of owner's knowledge no other source has anything comparable to the seven dynamic, visitor driven data base pages found in the site's "SMARTS STATS" section. These seven dynamic pages produce concise, meaningful and easy to read formats. Most sites give the visitor pre-selected static pages. But americansportswire.com's dynamic pages allow the visitor to view all possible choices. For example, on the "BASEBALL Individual Pitcher's Record" page the visitor is free to study the complete up-to-date records of any starting pitcher he wishes. (In any given season there are approximately 300 different starting pitchers.) On the "BASEBALL Comprehensive Pitching Matchups" page the visitor is able to create more than 90,000 different pitching matchup combinations with just a few clicks of his mouse. Where else on the internet is a visitor allowed to interact with up-to-date sports data bases to the extent permitted by our seven dynamic pages? When you have a chance, check them out for yourself.]

POTENTIAL PROFIT CENTERS PROVIDED BY THE SITE AND SOFTWARE - The site and software together provide several potential profit centers and could be extremely profitable in the right hands.

1. SELL ADVERTISING ON THE SITE - The site is an ideal advertising vehicle for sports and gambling related enterprises. There are numerous advertising positions on its 49 in-house pages. Interested advertisers would be sportsbooks and producers of sports related products or services.

2. SYNDICATE HARD COPY FEATURES - During the late 70's, 80's and early 90's, these copyrighted hardcopy features, (Baseball Pitching Form, NBA Form, College & Pro Football Form and Today's Line odds column), along with The Latest Line odds column, which the owner produced for The Latest Line, Inc. at the time, combined for approximately $180,000 to $190,000 in annual gross revenues from newspapers, before syndication commissions were deducted. A new owner could either sign on with an established newspaper syndication company or attempt self-syndication, which is how the current owner originally started.

3. SYNDICATE AND/OR CO-BRAND WEBSITE FEATURES - All of the features in the SMART STATS section can be sold individually, or as a co-branded "SMART STATS" or "sports stats" package to other web sites. Potential subscribers would be all sports related web sites, including off-shore sportsbooks and sports sections of newspaper web sites. Again, a new owner could either find a syndication company to represent him or attempt self-syndication.

4. SELL OR LICENSE SOFTWARE - A new owner could package and sell or license the proprietary sports software to either individuals for home use or to hardcopy and web based publications.

5. SUBSCRIPTION FEE - A new owner could charge a subscription fee to access either the site or the site's proprietary Smart Stats.

6. LEGAL OFF-SHORE SPORTSBOOK - Utilizing the site and its existing traffic volume a new owner could start his own legal off-shore sportsbook.

7. REVIVE AP LAWSUIT - An additional point a potential buyer may want to know about the software.

a) In 1984 the Associated Press (AP) and one of its suppliers, Sports Features Syndicate (has since changed its name), copied the format and statistical columns of ASW's pitching form in sequence.

b) When AP and Sports Features failed to satisfy ASW's complaints of infringement and failed to deliver on promises made to keep ASW from filing suit, ASW retained an attorney in August, 1986.

c) After obtaining copyrights on ASW's software and the various formats the software produces (Pitching Form, Football Form, etc.), ASW's attorney finally filed suit in March 1989. Some time later ASW learned this was 5 months after the statute of limitations had expired.

d) The case and the U.S. Second Circuit Court of Appeals in New York City (90-7469 and 92-7735) upheld the copyrightability of ASW's software and all of the various statistical formats it produces. The Second Circuit also held that AP had infringed on ASW's Pitching Form, but ASW lost the case because its attorney filed the action 5 months after the statute of limitations had expired. According to court papers in 1992, more than $16,000,000 was at stake. The number would be considerably higher today, given that AP continues to sell a derivative version of the original pitching form they copied from ASW as part of its sports agate page package. In owner's opinion, given the misunderstanding by the court regarding several of the facts in the case, the court failing, in owner's view, to properly "toll the statutes due to administrative delay" and with AP continuing to sell the pitching form to nearly all of its major newspapers, one wonders if some creative attorney with a fresh look at the case might be able to devise a legitimate way to re-open it.

SPORTS SOFTWARE - Some details about the software.

1. The sports software computer code for each sport - baseball, football (college and pro), basketball (college and pro), today's line/latest line and formatting (EN's/EM's) - is currently written in C BASIC, and operates in DOS and/or in a DOS window. The data entry programs, which maintain the data base files for each sport, are DOS based. The data base files are updated daily in season and uploaded to the web site.

2. The software creates and maintains the data bases and produces, not only the various hardcopy sports features which were syndicated to newspapers over the years ("Today's Pitching Form", "Today's NBA Form", "This Week's College Football Form", "This Week's NFL Football Form" and "Today's Line"), but also the entire "SMART STATS" section of the web site, including the four static pages and all seven dynamic, visitor driven data base pages. It can also produce a variety of other interesting charts and forms for the various sports, which have never been made available for newspaper syndication or for viewing on the web site.

3. Certain portions of the output programs which produce some of the copyrighted formats and statistical forms have been re-written in Perl, so they can operate interactively on the internet. These re-written portions of programs are able to read the data base files produced by the DOS based data entry programs (see the SMART STATS section of the web site).

ADDITIONAL SOFTWARE CAPABILITY -

1. In addition to NBA data, the basketball software is also capable of managing college basketball data and of producing college basketball forms like those it generates for the NBA.

2. The football software can also be used to maintain and store Canadian Football League data and to produce the same kind of hard copy and Smart Stats football forms and matchups that it currently does for the NFL and NCAA College Football.

3. Included in this software package is a small proprietary software program that makes it relatively simple to create and format the "Today's Line"/"Latest Line" feature.

4. Also included is another small proprietary software program that allows formatting commands, like TLI's, TFI's, En's and Em's to be embedded in any of the hardcopy files, if it is desired.

SPECIAL URL - Americansportswire.com also has a special URL where content subscribers may retrieve all four of the Smart Stats' static files and all five of the hardcopy features in either plain text or with TLI's/TFI's. This page can be configured for password protection, if it is deemed appropriate in the future. [Note: The URL will be disclosed to potential purchasers upon request, at the discretion of the owner.]

THE americansportswire.com SITE SOFTWARE - will be provided upon request, at the discretion of the owner.
